APPROVAL AGREEMENT FOR WEBSITE AND HOSTING

 

Terms and Conditions

This Approval Agreement ("Agreement") is entered into by and between 5SDP LLC ("Provider") and   ("Customer"). By signing this Agreement, the Customer agrees to the terms outlined below regarding the approval and payment for website and hosting services provided by the Provider.

1. Website Development

1.1. Development Environment: Website development will initially take place on Provider's demo servers.
1.2. Approval Process: * Provider will present website designs and functionalities to the Customer for review and approval. * Customer is responsible for thoroughly reviewing the website for accuracy, including but not limited to design, functionality, content, and user experience. * Customer feedback and revisions will be incorporated into the website on the demo servers.
1.3. Final Approval: * Once the Customer approves the final website design and functionality in writing (via email, E-signature, or other documented methods), approval is deemed final. * After final approval, the website will be released or transferred to the Customer's designated domain.

2. Hosting Services

Payment: * Monthly Hosting services require payment via PayPal Subscription with automatic processing fees.
* Annual Payment: Customers who pay for hosting annually will receive a discounted rate.
* Payment Suspension: After one month of missed payments, hosting services will be halted/frozen.

3. Payment Obligations

3.1. Website Development: The agreed amount of for the completion of the project is due upon final approval of the website design and before release to the Customer's domain. A non-refundable deposit of 50% of the total amount is required to initiate the project. Once the project begins, cancellation is not permitted, and the full payment becomes due upon completion.
3.2. Hosting: Payment for hosting services is due in advance as per the chosen subscription plan (monthly or annually).

4. Liability

4.1. Provider is not liable for errors or omissions in the final website if those errors were present in the approved designs and functionalities.
4.2. Customer assumes full responsibility for any issues arising from inaccuracies or omissions in the approved website.

5. Cancellation Policy

5.1. Website Development: The Customer agrees that upon starting the project, cancellation is not permitted. The non-refundable deposit of 50% of the total amount secures the project initiation, and the remaining balance will be due upon completion.
5.2. Hosting: Customers may cancel hosting services at any time, but any outstanding balance for the current billing cycle will be due.

6. Dispute Resolution

6.1. Any disputes arising from this Agreement shall be resolved through mediation or binding arbitration in the state of Texas, USA.
6.2. This Agreement shall be governed by and construed in accordance with the laws of the state of Texas.

7. Ownership and Licensing

7.1. 5SDP LLC retains full ownership of all website designs, code, graphics, and content provided under this agreement. The client is granted a limited, revocable license to use the website solely on 5SDP LLC’s hosting platform.
7.2. The discounted pricing is contingent on the client using 5SDP LLC hosting platform. Any transfer of the website to another hosting provider without written consent from 5SDP LLC ("Provider") will result in the client being charged the full, non-discounted website price of up to USD20,000.

8. Unauthorized Use

8.1. Any unauthorized use, duplication, or transfer of website assets outside of 5SDP LLC’s hosting platform will result in liquidated damages of $20,000 or the maximum amount allowable by law. The client agrees to this penalty upon signing this agreement.

9. Governing Law and Jurisdiction

9.1. This agreement is governed by the laws of the State of Texas. All disputes shall be resolved exclusively in the courts of Harris County, Houston, Texas.

 

Acknowledgment and Acceptance

By signing below, the Customer acknowledges that they have read, understood, and agreed to all the terms and conditions of this Approval Agreement.
